Share Register

Companies with listed or unlisted registered shares are obliged to keep a share register. Only shareholders entered in the share register may exercise their voting rights at the Shareholders’ Meeting. The share register is also used for ensuring that dividend payments and other corporate actions are handled correctly. It forms the linchpin between the stock corporation and its owners, the shareholders. Therefore, if it is important to you how the owners of your company are treated, you are at the right address!

As an authorised clearing house partner of SIX SIS AG (SIX Group), we ensure that all transactions relevant to the client's share register are received, processed and reconfirmed in accordance with the SIS Registered Shares System. For this purpose, we operate a highly available AREGIS Data Service for our clients which includes fail-safe connection to the SECOM banking network and guarantees that all reports of our clients from and to the banks relevant to share register management are correctly processed via SIX SIS AG.

Our products and services can be used in various modes of operation as required.

The “In-house” operating mode is interesting if you want to operate our share register software AREGIS on your own infrastructure. For this you need a minimal IT operation as well as appropriate employees for managing the share register. For in-house operation, you benefit from all the advantages of using your in-house infrastructure and can also access your data directly with other applications if required. You practically run our software in your company as if you were playing at a home game.

The Application Service Providing (ASP) operating mode is suitable for you if you do not want to take care of the IT operation of the AREGIS share register application yourself. We take care of all related activities for you, from installation on our servers to periodic data backups. You operate the application conveniently via a secure Internet connection directly from your Windows computer and manage the share register with your own employees.

In the Business Process Outsourcing (BPO) operating mode, we are commissioned to outsource your entire corporate process of share register management. This option is useful if you do not want to deal with the day-to-day business of the share register. However, you can access your data at any time via a secure Internet connection if you wish.

  • Free Setup

    Setting Up the Client and Configuring SIS:

    The first steps taken by DEVIGUS Shareholder Services are the setup of the client including configuration of the SIS connection as well as the basic parameter setting for the outsourcing operation. In the case of SIS capable securities, it is also necessary for the issuer to draw up a corresponding agreement with SIX SIS AG and to officially entrust DEVIGUS Shareholder Services in writing with the processing of the issuer's data.

    Data transfer from existing register:

    The data is then transferred from the existing register (or in parallel with the first step). This is implemented as an add-on or separate module. We assume that the data is delivered in an interface and contains all necessary information, which can be used essentially without transformations to import the shareholders and their holdings.

    Confirmation of readiness for operation:

    This confirms to the customer that the client has been set up and that the system is ready in the basic configuration to handle day-to-day business. If desired, the imported stocks can be reconfirmed and approved prior to launch.

    Start of operations:

    Day-to-day operations will start as agreed and the first bookings can begin.

  • Support and Service Level Agreement

    Support is very important to us. We want our customers to achieve the best possible work results through optimal support. Support is provided for in-house operation under a separate support agreement, which is based on a SWICO basic contract. In Application Service Providing (ASP) and Business Process Outsourcing (BPO), a detailed Service Level Agreement (SLA) is agreed in which the delivered services and availabilities are binding.

  • System availability

    The shareholder services system AREGIS offers guaranteed system availability of 5 x 12 hours (06 a.m. to 06 p.m.) per week on every working day. The system is also available on public holidays, over the weekend and outside these times around the clock 7 x 24 hours. However, maintenance work can also be carried out outside the guaranteed 5 x 12 hour window without prior notice. With the GVMANAGER system, even higher availability is ensured during a shareholders’ meeting.
